Please read these Terms of Service ("Terms") carefully before using the website unteapaiol.com (the "Site") operated by Speak Up Canada ("us", "we", or "our").
By accessing or using the Site, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Site or use our services.
1. Use of Our Services
1.1 Eligibility
To use our services, you must be at least 18 years of age and possess the legal authority to enter into a binding agreement with Speak Up Canada. If you are using our services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
1.2 Account Registration
Some features of our services may require you to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
1.3 Service Changes
We reserve the right to modify, suspend, or discontinue any part of our services, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of our services.
2. Course Registration and Payment
2.1 Course Registration
When you register for a course or workshop, you are securing a place in that specific event. Registrations are processed on a first-come, first-served basis. We reserve the right to limit the number of participants in any course to ensure quality of instruction.
2.2 Payment
All prices are listed in Canadian dollars (CAD) and are subject to applicable taxes. Payment must be made in full at the time of registration unless alternative arrangements have been explicitly agreed upon in writing. We accept payment via credit card, debit card, and other methods as specified during the checkout process.
2.3 Price Changes
We reserve the right to adjust pricing for our courses and services at any time. Any price changes will not affect registrations that have already been confirmed.
3. Cancellation and Refund Policy
3.1 Cancellation by Participants
If you need to cancel your registration, the following refund policy applies:
- Cancellations made more than 14 days before the course start date: Full refund minus a $50 administrative fee.
- Cancellations made 7-14 days before the course start date: 50% refund.
- Cancellations made less than 7 days before the course start date: No refund.
All cancellation requests must be submitted in writing to [email protected].
3.2 Course Transfers
If you are unable to attend a course, you may transfer your registration to another individual at no additional cost, provided you notify us in writing at least 48 hours before the course start date. Alternatively, you may transfer your registration to a future offering of the same course, subject to availability, with at least 7 days' notice.
3.3 Cancellation by Speak Up Canada
We reserve the right to cancel or reschedule courses due to low enrollment, instructor illness, inclement weather, or other circumstances beyond our control. In the event of a cancellation, registrants will be offered the option to transfer to another course date or receive a full refund. We are not responsible for any other costs incurred by participants due to course cancellations, including but not limited to travel and accommodation expenses.
4. Intellectual Property
4.1 Our Content
All content on the Site, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Speak Up Canada or our content suppliers and is protected by Canadian and international copyright laws. The compilation of all content on the Site is the exclusive property of Speak Up Canada and is protected by Canadian and international copyright laws.
4.2 Course Materials
All course materials, including but not limited to workbooks, presentations, handouts, and recordings, are the intellectual property of Speak Up Canada. These materials are provided for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any course materials without our express written consent.
4.3 Feedback
If you provide us with any feedback, suggestions, improvements, or recommendations regarding our services ("Feedback"), you grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such Feedback for any purpose without compensation to you.
5. User Conduct
When using our services, you agree not to:
- Violate any applicable law, regulation, or these Terms
- Use our services for any illegal or unauthorized purpose
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
- Interfere with or disrupt the services or servers or networks connected to the services
- Attempt to gain unauthorized access to any portion of the services or any other accounts, computer systems, or networks connected to the services
- Collect or store personal data about other users without their consent
- Use the services in a manner that could damage, disable, overburden, or impair the services
- Upload, post, or otherwise transmit any content that contains viruses, worms, malware, or other harmful code
- Engage in any harassing, intimidating, predatory, or stalking conduct
- Use the services in any way that could be considered defamatory, libelous, hateful, racially or ethnically offensive, or otherwise objectionable
6. Disclaimer of Warranties
Our services are provided "as is" and "as available" without any warranties of any kind, whether express or implied. To the fullest extent permitted by law, Speak Up Canada disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will meet your requirements, be uninterrupted, timely, secure, or error-free, that the results obtained from the use of our services will be accurate or reliable, or that the quality of any products, services, information, or other material purchased or obtained through our services will meet your expectations.
Any material downloaded or otherwise obtained through the use of our services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
7. Limitation of Liability
To the fullest extent permitted by law, Speak Up Canada shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use our services; (ii) any conduct or content of any third party on our services; (iii) any content obtained from our services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
In no event shall our total liability to you for all claims arising from or relating to these Terms or your use of our services exceed the amount paid by you, if any, to Speak Up Canada for the services during the twelve (12) months immediately preceding the date of the most recent claim.
8. Indemnification
You agree to defend, indemnify, and hold harmless Speak Up Canada, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services, including, but not limited to, any use of our content, services, and products other than as expressly authorized in these Terms.
9. Governing Law and Jurisdiction
These Terms and your use of our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule. Any legal action or proceeding relating to these Terms or our services shall be instituted exclusively in the courts of the Province of Ontario. You and Speak Up Canada consent to the jurisdiction of, and venue in, such courts.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use our services.
